Clyde Munro is looking to capitalise on the positive political position where the Scottish Government is deeply committed to NHS dentistry. The government has invested significant amounts of money in promoting access to dental practices with only circa 10% of practices being owned by a corporate group or chain.

Therefore, Clyde Munro’s acquisitions trail is dedicated to acquiring NHS dental practices in Scotland. At the heart of this aggressive acquisitions’ strategy is the firm’s aspiration to acquire an independent practice or group of practices a month with a view of building to an optimum portfolio of c70 in total.

Synova provided the capital to support the buy-in management buy-out of the Clyde Munro Group in 2015. The team is led by Jim Hall (CEO), Steve Duncan (Non-Executive Chairman) and Ron Robson (Group Executive Director & Chief Financial Officer). Synova’s investment facilitated the platform acquisition of a group of practices based in the West of Scotland and provided significant further capital for investment to build the leading dental group in Scotland. Currently, Clyde Munro has 40 practices and just under 200 dentists serving over 300,000 patients across Scotland. Current revenues are at £30m per annum and the business employs c500 people.

The Opportunity

This is an exciting time for Clyde Munro as it continues to grow through acquisitions. The business is looking to appoint a qualified accountant to support the CFO by taking ownership of the financial aspects of integrating acquisitions to the group; including preparing and agreeing completion accounts with vendors and their advisors, managing the transfer of the accounting process into the main finance team and acting as a bridge between operations and finance throughout the acquisitions process.

Clyde Munro has an experienced and well-developed acquisitions process with dedicated and experienced acquisitions and integrations teams. The business is geared up to deliver multiple acquisitions each month, and has a strong track record in delivering those. For vendors however, this is often the only such transaction they will undertake and they have little or no experience of the process. The Integrations Accountant has a key role in ensuring that the process is smooth and efficient for both the vendor and Clyde Munro and assisting the vendor through to completion.

The finance team plays a key role in how the business operates and therefore a deep understanding of each area of the business is required. The pace and diversity of the group throws up new and exciting challenges on a daily basis. The Candidate

The Integrations Accountant position requires a professionally qualified accountant who possesses excellent organisational, interpersonal, and technical skills. The ability to build relationships with and influence internal stakeholders, vendors and their professional advisors, is a key requirement, as are strong commercial accounting skills. As the group has ambitious growth plans through acquisitions, this will be a high profile and high intensity role.

A strong track record of achievement both professionally and academically is required given the nature and requirements of this position.

A summary of the key candidate requirements are as follows:

  • Qualified Accountant (CA/CIMA/ACCA) with ability to apply strong technical knowledge to practical scenarios
  • Advanced Excel skills
  • More than 3 years of experience in delivering financial/business analysis to support management decision making
  • Significant experience of accounts preparation work with a strong attention to detail.
  • Adaptable to working in a fast-paced environment where change is the norm
  • Good problem-solving skills, communication and presentation skills
  • Strong attention to detail and able to deliver accurate and timely results
  • Deadline focussed and willing to put in the effort to ensure they are always achieved
  • Strong people skills, able to develop strong professional relationships with vendors, their advisors and internal stake holders

Job Description

To take ownership of the financial aspects of integrating acquisitions to the group; including preparing and agreeing completion accounts with vendors and their advisors, managing the transfer of the accounting process into the main finance team and acting as a bridge between operations and finance throughout the acquisitions process.

  • Preparation of the completion accounts for acquisitions, including interpretation of Purchase Agreements and applying the principles of those agreements to the completion accounts.
  • Negotiating and agreeing completion accounts with vendors and their advisors and preparing and maintaining internal management reporting on those.
  • Planning and delivering the transfer of all aspects of financial transaction processing and reporting from the vendor systems to the group finance team.
  • Ongoing monitoring and reporting on deferred payments to vendors and earn out / profit sharing arrangements.
  • Alongside the integrations team, near term monitoring and reporting on the performance of acquisitions and comparison to initial business plan.
  • Liaising with internal acquisitions, integrations and operations teams to ensure that acquisitions are brought into the core financial processes and routines efficiently and timeously.
