Company Secretary and Treasurer, Glasgow, £70,000 - £80,000 plus car allowance, bonus, pension and healthcare
Our client is an impressive market leader that has grown significantly both organically and via acquisition. As part of this growth, the business is seeking to recruit a Company Secretary and Treasurer. This is critical role which is central to the Head Office function and will be highly visible both across the overall business.
Reporting to the Finance Director, the Company Secretary and Treasurer provides support on a broad range of key business areas. These include insurance (including claims), commercial contract reviews/negotiation, treasury management (including hedging and foreign exchange), banking and general administrative duties and projects as required by the Finance Director.
The Role
The position requires interaction with the Head Office team, investors, banks, customers/suppliers and external advisors. The main duties and responsibilities are as follows:
- Ensuring appropriate insurances are implemented across the business, minimising exposure to risk and claims
- Reviewing and negotiating commercial contracts in conjunction with the legal team
- Leading and resolving contract disputes with customers and suppliers
- Management of day to treasury function, ensuring adequate funds are maintained in line with working capital requirements
- Minimise financial risk arising from exposure to fluctuations in foreign exchange and interest rates. This will involve proactive management of the company’s hedging policy and identifying where changes may be required or where additional hedging needs to be put in place
- Preparation of treasury KPIs, liaising with the finance team as required
- Advising on the integration of acquisitions, particularly from a banking and treasury perspective
- Maintaining day to day banking relationships with ability to negotiate and resolve issues
- Ensuring compliance with all banking arrangements
- Close supervision of multiple bank accounts and systems to maintain control of receipts and payments
The Individual
The Company Secretary and Treasurer position requires a high calibre individual who is strong interpersonally, a keen negotiator and has an excellent eye for detail with the ability to resolve complex issues. Ideally, candidates will have a proven track record in a similar capacity, though the company are cognisant of the fact that applicants may not have experience in all facets of the role. Candidates may have developed their careers in a number of areas though accountancy/finance, treasury/banking and legal are likely to provide the most appropriate skills set the role.
Finally, it is critical that the Company Secretary and Treasurer can work closely with the Finance Director. In particular, it is crucial they can take responsibility for decision making and possess sufficient gravitas to manage key projects and negotiations.

- Confidence and well developed interpersonal skills, especially when interfacing with senior management and internal/external stakeholders
- Strong negotiation skills and comfortable when managing commercial disputes
- Excellent attention to detail, especially in relation to commercial contracts
- Ability to work to strict deadlines
- Self-motivated, flexible and capable of developing the current role over time
- Good IT skills with experience of implementing and improving systems
- Happy to travel to other UK locations as required
Salary and Remuneration
In addition to a generous salary of £70,000 - £80,000, there is a car allowance (£8,000), bonus scheme (up to 20%), pension and family private medical cover.
